The exact scope, deliverables, timelines, and fees for any engagement are governed by the individual Proposal or Service Agreement signed between Brikbond and the Client.
4.2 Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required for the project
- Supply necessary materials, credentials, and access (e.g., ad accounts, website CMS, brand assets) within agreed timelines
- Designate a primary point of contact and provide feedback within agreed review windows (typically 5–7 working days)
- Make payments per the agreed payment schedule
- Ensure that materials provided do not infringe third-party intellectual property rights
4.3 Intellectual Property
- Client-Owned IP: Upon receipt of full payment, creative deliverables (logos, designs, website code, copy) produced specifically for the client become the client's property.
- Brikbond IP: Our proprietary methodologies, frameworks, templates, toolkits (including the LaunchX system), and internal processes remain the exclusive property of Brikbond Consultancy Services.
- Portfolio Rights: Unless expressly prohibited in writing, Brikbond retains the right to display completed work in our portfolio, website, and marketing materials.
- Third-Party Assets: Stock imagery, fonts, licensed software, and third-party plugins are subject to their own licensing terms. Clients are responsible for maintaining required licences after project handover.
4.4 Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, business-sensitive, or commercially valuable information disclosed during the engagement. Brikbond will not share client business information, strategies, financial data, or project details with third parties without express written consent. Clients may request a formal Non-Disclosure Agreement (NDA) prior to commencement of any project discussions.
4.5 Limitation of Liability
While Brikbond commits to delivering high-quality work in good faith, we cannot guarantee specific business outcomes (e.g., revenue targets, lead volumes, conversion rates) as these depend on market conditions, client execution, and external factors outside our control.
To the maximum extent permitted by law, Brikbond's total liability in connection with any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim, during the six-month period preceding the claim.
Brikbond shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits or data, arising out of or in connection with our services.
4.6 Warranties & Disclaimers
- Brikbond warrants that our services will be performed with reasonable skill, care, and professionalism
- We do not warrant that advertising campaigns will achieve any specific performance metric
- Third-party platforms (Google, Meta, etc.) may change their policies, algorithms, or pricing at any time, which is beyond our control
- Website rankings, ad impressions, and organic reach are subject to platform algorithms and market competition
4.7 Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India, unless otherwise agreed in writing. For international clients, disputes may be resolved through binding arbitration under the UNCITRAL Arbitration Rules.
4.8 Modifications to Terms
Brikbond reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.

Payment Terms & Billing
Our payment terms are structured to protect both parties and ensure smooth project delivery. All terms are specified in the project proposal and must be agreed upon before work commences.
5.1 Standard Payment Structure
- Project Kick-off (50%): A non-refundable advance of 50% of the total project fee is due before work begins. This secures your project slot and covers initial research, strategy, and setup costs.
- Mid-project Milestone (25%): Due upon approval of the initial deliverable, design concepts, or strategy document — whichever is applicable to the service.
- Project Completion (25%): Final balance due upon delivery of completed work, prior to final file handover or website launch.
For retainer-based engagements (monthly services), payment is due on the 1st of each service month, in advance. Services may be paused if payment is not received within 7 days of the due date.
5.2 Invoicing
- All invoices are issued in Indian Rupees (INR) for domestic clients and may be issued in USD, GBP, or EUR for international clients.
- GST (Goods and Services Tax) is applicable on all services at the prevailing rate (currently 18%) for Indian clients. Our GSTIN will be mentioned on all tax invoices.
- International clients outside India are not charged Indian GST; however, they may be subject to applicable taxes in their own jurisdiction.
- Invoices are payable within 7 days of issuance unless otherwise agreed in the project proposal.
5.3 Late Payments
- A late payment fee of 2% per month may be applied to overdue balances.
- Brikbond reserves the right to pause active work or withhold deliverables until outstanding payments are cleared.
- Persistent non-payment may result in engagement termination and legal action for recovery of fees.

6.1 Currency & Exchange
- International invoices are issued in USD ($) by default. EUR (€) or GBP (£) billing is available on request.
- Exchange rates are applied at the prevailing rate on the day of invoice generation. Brikbond bears no liability for exchange rate fluctuations.
- All foreign remittances to Brikbond are received as per FEMA (Foreign Exchange Management Act) guidelines and filed under appropriate RBI reporting requirements.

6.3 Google Ads Policy Compliance — International
For international clients engaging Brikbond to manage Google Ads campaigns on their behalf, we operate in full compliance with Google's policies:
- Verified Business Identity: All campaign accounts are operated under verified business identities per Google's advertiser verification requirements.
- Transparent Billing Disclosure: Ad spend billing occurs directly through the client's Google Ads account or via agreed managed billing — clearly disclosed in the service agreement.
- No Misrepresentation: We do not engage in deceptive billing practices, hidden fees, or ad fraud of any kind.
- EU Consent Mode: For EU/EEA clients, we implement Google Consent Mode v2 to ensure GDPR-compliant ad measurement.
- Data Processing Agreement: For clients subject to GDPR, a Google Ads Data Processing Addendum is in place by default.
6.4 Tax Obligations for International Clients
- Services exported from India to international clients qualify as "zero-rated" exports under the Indian GST framework — Indian GST is not charged on such invoices.
- International clients are responsible for assessing and paying any withholding tax, VAT, GST, or sales tax applicable in their own jurisdiction.
- For US-based clients: Brikbond is a foreign entity and is not subject to US tax withholding for services performed outside the US. A Form W-8BEN-E can be provided on request.
- For UK-based clients: Services fall outside the scope of UK VAT as they are supplied from outside the UK. The client's reverse charge rules may apply.
Wire Transfer Instructions: Always verify bank details by calling us at +91-8448746887 before initiating any international wire transfer. Brikbond will never request a change of banking details via email alone. This protects you from business email compromise (BEC) fraud.

Can I cancel a retainer mid-month?
